[HB현대로보틱스 IPO] 제안서 작성 동시에 PT준비 '숨가쁜2주'

1. 시장의 흐름이 로못 및 피지컬 AI산업에 유리하게 흘러가고 있어서 빠르게 상장작업을 마무리하겠다는 의지-> 증권사에게 2주의 시간에 제안서 작성 시간을 줌

2. 주관사 선정 작업을 올해 마무리한 뒤 내년 상반기 중 예비심사를 청구한 뒤 같은해 중 증시 입성을 마무리지을 것으로 전망

3. 증시에서 피지컬 AI곤련 기업들의 선전은 내년에도 이어질 것이란 전망(두산로보틱스의 주가는 1년 전 대비 30%)

 

[지배구조 분석/네이버, 카카오 리더십]RSU 중심 주식보상 확립, 스톡옵션은 '거리두기'

1. 네이버와 카카오 모두 임원의 보수와 주가와 연동하고 있음. 과거에는 스톡옵션 제도를 운영했으나 현재는 RSU를 활용하고 있음. 그 외로는 네이버는 stock grant, 카카오는 팬텀스톡을 개별적으로 운영중

* RSU 조건부 지급 주식 보상 Phantom Stock 주식이 아닌 주식가치만큼의 현금을 주는 제도

2. 네이버는 임원 보수 중 상여를 단기 성과에는 타깃 인센티브와 장기 성과에 대해서는 RSU로 지급

3. 카카오는 상여금 책정지표 중 하나로 주주수익률을 채택

4. 스톡옵션의 문제점

- 카카오페이 상장 당시 스톡옵션 행사 -> 2022년 12월에 카카오페이가 상장하자 임원 8명이 상장 뒤 1개월만에 스톡옵션 부여 주식을 매도해서 차익을 실현함-> 시장에는 부정적 신호로 받아들여져서 주식 급락

-> 주식매수선택권 부여 시점과 행사 시점의 차이로 인해 경영진의 차익실현에 매몰되어 주주가치와는 다른 의사결정을 내리는 부작용

Ford and Renault Team Up in Europe to Compete Against Low-Price Chinese Cars

1.Carmakers are increasingly turning to partnerships to save money as different regions embrace different technologies at different speeds. The competition is especially fierce in Europe, where Chinese makers, led by SAIC Motor and BYD, have burst onto the scene with low-cost technology.

2. Ford is partnering with Renault to produce two small electric vehicles for the European market, with the first vehicles arriving in 2028.

3. Chinese automakers, led by SAIC Motor and BYD, have increased their collective market share in Europe to approximately 6.7% in the third quarter.

Paramount Made a Hostile Bid for Warner After Netflix Deal. What Happens Next?

1.Paramount on Monday made a $77.9 billion hostile takeover bid for Warner Bros. Discovery, escalating its fight for the entertainment company against Netflix by bringing its case directly to Warner shareholders.

2. tender offer (Warner 이사회가 협상에 응하지 않자 Paramount는 tender offer)

3.The company has 10 business days, or until Monday Dec. 22, to convene with advisers and decide whether or not Paramount’s bid is a superior offer to Netflix’s deal.
