1. Retail sales increased by 0.2% in September, falling short of economists’ expectations for a 0.3% rise. Consumer confidence decreased to 88.7 in November from 95.5 in October, below economists’ expectations of 93.2.

 

AI Trade Splinters as Google Challenges Nvidia’s Dominance

1. Tuesday’s divergence followed news that Meta Platforms is in talks to spend billions of dollars on Google’s AI chips, one of the few alternatives to Nvidia’s.

2. The potential deal adds to a string of recent events that have lifted Alphabet shares to records, including a court victory that quelled fears of a government breakup, an investment from Warren Buffett’s Berkshire Hathaway and a positive reception to its new Gemini 3 model.

'풍요 속 빈곤' 삼성전자, 현금방어 핵심은 '해외배당'

100조원을 넘는 현금이 대부분 해외에 묶여 있는 재무구조이다. 해외로부터현금을 끌어오는 데에 소극적인 이유는 세금 이슈 때문이다. 가령 베트남법인의 경우 법인세율 15% 세제 혜택이 있어서 베트남에서 이익을 남기는 쪽이 국내법인(24%)보다 유리하다. 또 2022년까지만 해도 해외 자회사에서 받은 배당엔 익금불산입이 적용되지 않아서 본사로 현금을 가져오길 꺼릴 수 밖에 없었다.

*익금불산입 : 법인의 순자산을 증가시키는 거래임에도 세무회계상 익금으로 보지 않아 소득금액 계산에서 제외하는 것

2021년에 있었던 21조원의 특별배당 이후로, 별도법인의 현금부족 현상이 두드러져서 자회사에게 돈을 빌리고 해외법인으로부터 배당을 받았다. (2023년에는 익금불산입이 적용된 영향도 있음)자사주 매입(8조), 법인세(2조) 등 굵직한 지출을 따지면 54조원을 훌쩍 넘기는 데 올해 영엉에서 창출한 현금흐름이 3분기 말 기준으로 44조 정도 되는데 10조원대의 현금을 수성할 수 있었던 배경에는 해외법인에서 수조원을 수혈해 왔기 때문이다

 

홈플러스 본입찰 참여'0' 회생절차 안갯속

 

홈플러스 매각 주관사는 삼일 PwC임. 인수 제안서 제출한 후보는 한 곳도 없었음입찰에 참여하기 위해서는 투자확약서와 운영계획서를 제출하고 입찰 보증금을 납부해야함2024년 2월 말에 홈플러스 부채비율은 3200%를 상회하였다가 보유하고 있던 상환전환우선주를 자본으로 전환하여 부채비율 500% 수준으로 경감됨-> 이러한 자본 전환이 신용등급 강등을 막지 못해서 결국 회생절차로 이르긴 했음->여기서 쟁점이 LP인 국민연금과 소통없이 일방적으로 내려진 결정으로 내부통제 의무 위반으로 보는게 맞느냐 불가피한 긴급조치였다는 선관주의적 판단에 가깝다고 보는 것이 맞느냐이다.-> 이러한 결정까지 절차 위반으로 해석된다면 GP들이 자산 부실위험에 선제적으로 대응하기 어려워질 수 있음, 또한 금융부채보다 후순위에 위치해서 회수 가능성이 애초에 낮았음
